Thank you for accepting Urban Farming™, Inc.’s (“UF”) selection of you as a player in the Urban Farming Global Games™! (UFGG™) We appreciate that you have agreed to volunteer your time to further UF’s mission to create an abundance of food for all in our generation (the “Mission”).
The Urban Farming Global Games™ is a fundraising event for UF that takes place every month (the “Round”). The category of each Round may include individuals from entertainment and various sports genres. Players may also make a donation which will be included in the Player’s total funds raised (Total Amount Donated). Players may use their celebrity and fan base to raise awareness of the Urban Farming Global Games™ and to encourage donations to be made, which will be counted in the Total Amount Donated. Specifically, Participant may use social media outlets and other forms of technology to publicize the UFGG™ through words, photographs, film footage, etc., and through such means, Players will encourage his/her fan base to donate to the UFGG™ (the “Services”). Players acknowledge and agree that to their knowledge, they will abide by all applicable state and federal laws, rules and regulations while participating in the Urban Farming Global Games™. Players agree that they will not disparage or otherwise damage the reputation or goodwill of UF, or any related organization with which UF may work to accomplish its charitable purposes, and will abide by the procedures and standards of conduct of UF.
In the UFGG™, there will be other players competing with each other to raise the most total donations through the Services (each round will have no less than two (2) and no more than ten (10) total individuals competing). URBAN FARMING PLAY IT FORWARD PROGRAM™ : As a part of the unique Urban Farming Play it Forward Program™, the player who receives the most donations during each round will have the opportunity to select a charitable organization exempt from taxation under Section 501(c)(3) of the Internal Revenue Code (“IRC”) to which UF will donate fifteen percent (15%) of UF’s net profits during that round. Each other player in that round will also have the opportunity to select a charitable organization exempt from taxation under Section 501(c)(3) of the IRC to which UF will donate an evenly split, between the remaining players, five percent (5%) of UF’s net profits during that round. The player who raises the most Total Funds during their Round, will qualify to play in the “December Final Round” as a representative of his/her Category. The player who raises the most donations during the December Final Round will receive an Urban Farming Global Games™ Certificate of Recognition for helping to support and raise awareness for UF’s Mission.
Players are acting as a volunteers and not in the capacity of an employee, agent, independent contractor or similar capacity of UF or any other person or entity. Further, players are not compensated in any way by UF for the Services. Players grant to UF the right to use any images and/or statements made through the Services for UF’s promotion and advertisement of the Global Games and the Mission and to edit such images and/or statements appropriately for the cause to best advance its charitable goals. Players may guide UF on how they want their image used if they wish and UF will respect the wishes of the Players with respect to the usage of their photos and images. In the event that a player acts in a way that damages the goodwill or good name of UF, UF will be entitled, in its sole discretion, to terminate the relationship contemplated herein immediately and any and all obligations and rights of the parties hereunder will be null and void and of no further effect.
Players agree and acknowledge that, to the furthest extent permissible by law, UF shall have no responsibility or liability whatsoever for any of his acts, omissions or failures to act in rendering the Services, including but not limited to Player’s negligence, intentional acts, gross negligence, or willful or wanton conduct. Players hereby release UF, and UF’s officers, directors, agents and employees, from any and all liabilities, claims, damages, costs and/or responsibility associated with his performance of the Services, including but not limited to those resulting from personal injury or property damage that Players may suffer while he is performing the Services. Further, Players hereby release UF from any and all claims, liabilities, damages and/or costs arising out of UF’s use of the Images, or other likeness of players.
This contains the full and complete understanding between the parties with respect to the subject matter hereof. Any delay or failure of either party to perform its obligations hereunder will be excused to the extent that it is caused by an unforeseen, unpreventable event or occurrence beyond its reasonable control.
